Terms of Service

These terms govern your use of Permaura. Please read them carefully, by using the Service you agree to them.

1. Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you and Pixelite SL, which operates Permaura ("Permaura", "we", "us", "our"). They govern your access to and use of the Permaura website, console, hosted services and APIs (together, the "Service"). By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation.

2. The Service

Permaura is a permission and capability layer for AI agents. It lets you grant scoped, time-limited, audited access to systems and credentials without exposing raw secrets to an AI model, a prompt, a log, or an agent process.

Permaura has an open-source part and a proprietary part. The gateway — the capability broker that runs on your own machine, together with the libraries and packages it is built from — is open-source software licensed under the Apache License, Version 2.0. Everything else is proprietary: the website, the console, the hosted services and APIs at permaura.com, and the Permaura desktop and mobile applications.

Where an open-source licence applies to a component, that licence governs your use of that component and prevails over these Terms to the extent of any conflict. These Terms govern your use of the hosted Service and of the applications we distribute. Nothing in these Terms limits any right the Apache License grants you in the gateway.

We may add, change or remove features. We will not materially reduce the core functionality of a paid plan during a period you have already paid for without offering a pro-rated refund of the unused portion.

3. Software you install

This section covers the Permaura desktop application and the Permaura mobile application (each, an "Application"). It does not cover the gateway, which is open source and is licensed to you under the Apache License, Version 2.0 rather than under these Terms.

We grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use the Applications on devices you own or control, for your own personal use or the internal business use of the organisation you represent. We license the Applications to you. We do not sell them, and you acquire no ownership in them.

What you may not do

  • distribute, resell, rent, lease, lend or host an Application, or make it available to anyone outside your organisation;
  • modify an Application, or create derivative works from it;
  • reverse engineer, decompile or disassemble an Application, except to the extent applicable law expressly permits despite this restriction, including for interoperability where the law provides that right;
  • remove, obscure or alter any copyright, trademark or licence notice in an Application; or
  • circumvent, disable or interfere with any licensing, entitlement or security mechanism in an Application.

Open-source components

The Applications work with the Permaura gateway, which the desktop application downloads separately to your machine and verifies before use. The gateway and its components are licensed under the Apache License, Version 2.0, and that licence, not this section, governs your use of them. The Applications may also include other open-source components, each governed by its own licence. Where such a licence conflicts with this section, that licence prevails for that component.

Updates

The Applications may check for and install updates, including updates to the gateway binary they manage. Updates are part of the Applications and these Terms apply to them. We may stop supporting a version, an operating system or a device.

App stores

Where you obtain an Application from a third-party app store or distribution platform, that platform's terms also apply, and the platform may impose terms that override this section for that copy. Our mobile application is distributed through the Apple App Store, and Apple's standard Licensed Application End User Licence Agreement governs your use of it. Apple is not a party to these Terms, is not responsible for the Application, and has no obligation to provide support for it.

Ending this licence

This licence ends automatically if you breach this section, and it ends when your account is closed or terminated. When it ends you must stop using the Applications and remove them from your devices. All rights not expressly granted here are reserved to us and our licensors.

4. Eligibility and your account

  • You must be at least 18 years old, or the age of majority where you live, to use the Service.
  • You agree to provide accurate account information and to keep it up to date.
  • You are responsible for keeping your account credentials secure and for all activity under your account.
  • You agree to notify us promptly at support@permaura.com if you suspect any unauthorised use of your account.

5. Acceptable use

You agree to use the Service lawfully and only as permitted. In particular, you agree not to:

  • use the Service to break the law or infringe the rights of others;
  • store or process credentials you are not authorised to use;
  • connect a third-party service in breach of that service's terms;
  • attempt to access another user's secrets, data or account;
  • probe, scan or attempt to breach the security of the Service except under a programme we authorise in writing;
  • resell or provide the hosted Service to third parties except as your plan expressly permits; or
  • use the Applications, or the hosted Service, to build or operate a competing service.

We may suspend or limit access where reasonably necessary to protect the Service, our users, or third parties, or to comply with law.

6. Plans, billing and payments

Some features are free; others require a paid subscription. Plan features and prices are described at https://permaura.com/pricing.

Merchant of Record

Our order process and payments are handled by our reseller and Merchant of Record, Paddle (Paddle.com Market Limited and its affiliates). When you purchase a subscription, Paddle is the merchant and seller of record for that transaction and handles billing, payment, invoicing and the calculation and remittance of applicable VAT and sales taxes. Your purchase is also subject to Paddle's buyer terms at https://www.paddle.com/legal/checkout-buyer-terms.

Renewals

Paid subscriptions are billed in advance on a recurring basis (monthly or annual, as you choose) and renew automatically at the then-current rate for your plan unless you cancel before the renewal date. You can cancel at any time; cancellation stops future renewals, and your plan stays active until the end of the current billing period.

Promotional and founding rates

Where we offer a promotional or founding rate, any price, discount or "locked for life" commitment we state at the point of sale applies only for as long as your subscription remains continuously active. If your subscription lapses, that rate may no longer be available on resubscription.

Taxes and price changes

Any VAT, GST or sales tax applicable to your purchase is determined and collected by Paddle as Merchant of Record based on your location. We may change plan prices; changes apply from your next renewal and we will give reasonable advance notice. Continuing to use a paid plan after a change takes effect constitutes acceptance.

7. Refunds

Refunds are governed by our Refund Policy at https://permaura.com/refund-policy, which forms part of these Terms. Because Paddle is the Merchant of Record, refunds are issued through Paddle.

8. Your content, data and secrets

You retain ownership of the data, credentials and configuration you provide ("Your Content"). You grant us the limited rights needed to operate the Service for you.

Permaura is designed so that secrets are sealed and are not returned to the AI model, prompt, logs or agent process. In local mode, secrets remain on your device and do not reach our servers. In hosted mode, secrets are encrypted at rest and only briefly decrypted in memory at the moment of an authorised call. This is an architectural safeguard, not an absolute guarantee, and it does not relieve you of responsibility for the credentials you store and the access you grant. You are responsible for ensuring you are entitled to store and use the credentials and to connect the systems you configure, and for the actions your agents and grants authorise.

9. Third-party services and connectors

The Service lets you connect third-party systems and APIs using your own credentials. Your use of those services is governed by their terms, and you are responsible for complying with them. We are not responsible for third-party services, their availability, or actions they take in response to authorised calls.

10. Intellectual property

We and our licensors own the Service, the Permaura name and logo, and all related intellectual property, except for open-source components (governed by their own licences) and Your Content. We grant you a limited, non-exclusive, non-transferable right to use the hosted Service in accordance with these Terms and your plan; the Applications are licensed to you under section 3. The Permaura name and logo are not covered by any open-source licence we publish, and you may not use our trademarks without our permission.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that it will prevent all unauthorised access or misuse. Security is a shared responsibility between you and us.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of the amount paid for the Service in the twelve months before the event giving rise to the claim, or EUR 100.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold us harmless from claims, losses and reasonable expenses arising from your use of the Service, Your Content, your credentials, or your breach of these Terms or of any third party's rights.

14. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or where necessary to protect the Service or comply with law. On termination, your right to use the hosted Service ends. We will delete or return Your Content in accordance with our Privacy Policy and applicable law, subject to any records we are required to retain.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give reasonable notice, for example by posting the updated Terms with a new effective date or by email. Your continued use of the Service after the changes take effect constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the Principality of Andorra, without regard to its conflict-of-laws rules. The courts of Andorra will have jurisdiction over any dispute, except where mandatory consumer-protection laws of your country of residence give you the right to bring proceedings in your local courts.
